Intervento di Marco Saba all’assemblea CARIGE del 28 marzo 2017 sul primo punto all’ordine del giorno (Bilancio 2016) e sul quinto (elezione del collegio sindacale). Repliche del presidente Tesauro e dell'AD Bastianini. Trascrizioni sotto ai video.

Marco Saba: “Saluto gli amministratori e gli azionisti presenti ed intervengo, come piccolo azionista, a proposito del bilancio d’esercizio di CARIGE che chiude con una perdita netta di 313,6 milioni di Euro. Rammento che intervenni già nell’assemblea del 2014 contestando che nel bilancio non era presente la voce che indicava il sottostante dei crediti e debiti verso clientela, ovvero la somma del denaro creato durante l’esercizio, e rinnovo tale critica con qualche osservazione in più. Dal 2014 ad oggi sono cambiati gli amministratori della banca ma non è cambiato il sistema di gestione contabile dell’attività bancaria, nonostante quanto emerso a seguito del rapporto di KPMG al primo ministro islandese e le recentissime dichiarazioni della Banca d’Italia, rese alle commissioni finanze di Camera e Senato, a proposito della creazione del denaro e dei depositi da parte delle banche commerciali.
KPMG conferma che le banche creano denaro quando effettuano dei prestiti e che tale attività di creazione, sempre secondo KPMG, sarebbe meglio fosse esercitata direttamente dallo Stato attraverso la sovranità monetaria. La Banca d’Italia, nella risposta al quesito sollevato dall’Onorevole Villarosa, afferma che la creazione dei depositi rappresenta la quasi totalità del denaro bancario. In particolare, dai bollettini Banca d’Italia 2016 si legge che oltre l’83% della massa monetaria M1 è costituita dai depositi bancari, dato che trova riscontro nell’aggregato dei crediti verso clientela, a conferma del fatto che le due voci originano l’una dall’altra. E’ il denaro, infatti, il sottostante dei crediti e debiti vantati dall’amministrazione di CARIGE nello Stato patrimoniale, ma questo denaro non transita nell’attivo patrimoniale della Banca né appare nel rendiconto finanziario e negli altri libri contabili.
La frase “creazione dei depositi” rappresenta un concentrato di due azioni differenti: la creazione di denaro ed il trasferimento dello stesso su un conto corrente. Dalla contabilità rileviamo che mentre l’uscita di cassa, subito dopo la creazione, viene registrata all’erogazione al cliente, non vi è traccia della previa entrata di tale denaro nei flussi di cassa ! L’amministrazione della banca crea denaro per far fronte agli impieghi, ma omette di registrarlo in cassa prima di utilizzarlo.
Per dimostrare quanto sto affermando, abbiamo richiesto dal luglio 2016 al Tribunale di Genova di fare un Accertamento Tecnico Preventivo sui libri contabili della banca, ma l’amministrazione di Carige, tramite l’avvocato Cànepa, così rispondeva al magistrato durante la sesta (!) udienza: “Se ci fosse qualcosa di anomalo, la BCE lo avrebbe rilevato !”.
Fa specie il riferimento alla BCE, dato che la stessa segue la medesima prassi, tanto che ha eliminato il Rendiconto Finanziario dalla pubblicazione del bilancio probabilmente proprio per evitare di evidenziare questa omissione.
In udienza i legali degli amministratori della banca hanno dichiarato che non vogliono pagare il 5% di compenso, necessario per recuperare il 100.
Evidentemente gli amministratori hanno un interesse in contrasto con quello della banca. Questo atteggiamento dimostra che gli amministratori e la società di revisione non hanno a cuore gli interessi né degli azionisti né degli altri stakeholder di Carige. A loro cosa interessa ? A loro interessano solo i loro emolumenti ? Se l’azione CARIGE crolla, se gli azionisti non percepiscono un giusto dividendo o venissero diluiti da una procedura di ricapitalizzazione preventiva, o, peggio ancora, di Bail-In, cosa importa ? Sarà sempre qualcun altro a pagare.
Quando ho posto lo stesso problema all’AD di Mediobanca, questo ha avuto almeno il garbo di dire in assemblea che non era capace di redigere il bilancio tenendo conto della creazione di denaro. E nonostante ciò, dato l’analfabetismo degli azionisti Mediobanca, il bilancio è passato lo stesso. Ma qui mi chiedo, se non intendete redigere correttamente il bilancio e se i revisori dei conti non sono in grado di capirlo, gli azionisti, almeno, capiscono quello che sto dicendo ? Voterete anche qui a favore di un bilancio mancante della corretta rappresentazione della creazione del denaro che oggi avviene extracontabilmente ? Il fatto è che, per ottemperare correttamente ai requisiti di fedele rappresentazione delle poste attive che seguono ai dettami di IAS e IFRS, l’attività rappresentata dalla nuova moneta creata deve essere registrata, alla creazione, nei flussi di cassa.
L’evoluzione dell’uomo così come del sapere scientifico e di quello economico e contabile, è avvenuta per atti di discontinuità rispetto al passato, ma che hanno migliorato le relazioni e la trasparenza tra i soggetti. Vogliamo continuare a farci prendere in giro da una governance che non si dimostra all’altezza dei compiti assegnati e che gioca in Tribunale a dire che tutto va bene, ma che fa ostruzionismo all’accertamento ? Che si rifiuta di recuperare 25 miliardi nonostante la corposa documentazione prodotta, suffragata da pareri legali e contabili, pretendendo ancora di essere in perdita di 313 milioni ?
E che senso ha, poi, eleggere una nuova lista di sindaci che non hanno nemmeno risposto ad una lettera che ho inviato, a ciascuno di loro, chiedendo se sapessero, o meno, contabilizzare la creazione di denaro ? Io penso che fare l’azionista di una banca sia un’attività per adulti, e mi appello quindi all’adultità degli azionisti per opporsi, per quanto possibile, all’ennesimo errore di costruzione del bilancio rigettandolo e votando contro, qui, oggi, in assemblea.
Mi riservo il diritto di replica e grazie per l’attenzione.”



Presidente Tesauro: “Brevissima replica”

Marco Saba: “Sì sì, brevissima replica. Non sono soddisfatto da quanto detto dall’amministratore delegato e, in particolare, mi rivolgo al Presidente Tesauro, che da ex magistrato, capirà quanto è importante l’azione dell’accertamento giudiziario, in alcuni casi controversi, come per esempio è questo e non per una cifra indifferente ma bensì di 25 miliardi. Si tratta proprio di questo denaro che viene creato, del cosìddetto tantundem. Se l’amministratore delegato pensa che non sia necessario metterlo in bilancio, cioè che sia possibile continuare a creare del denaro fuori bilancio, fuori dai libri contabili, stiamo parlando di creazione di 25 miliardi in nero, in pratica, se pensa che questo sia secondo i principi contabili coerente, corretto, che non sia necessario iscriverli nei flussi di cassa, prendo atto di questo, grazie e arrivederci.”

Presidente Tesauro: “ E adesso...”

AD Bastianini: “Confermo quanto considerato in precedenza perché questo importo a nostro modo di vedere non debbano essere registrati in bilancio e che a riguardo ci sono già delle pronunce del Tribunale di Genova a favore della banca”. 
(Nota bene: il Tribunale di Genova non s’è ancora espresso nel merito della questione contabile...)


Marco Saba: “Due settimane prima dell’assemblea ho inviato una email a ciascuno dei cinque componenti sia della lista A che della lista B, cioè Stefano Chisoli, Maddalena Costa, Francesca De Gregori, Carlo Lazzarini, Giancarlo Strada e nella lettera, quattro righe, ve le leggo, era scritto così: “Egregi/e, come azionista di Banca Carige, al fine di valutare la vostra validità per ricoprire il ruolo sindacale di candidati delle due liste, e quindi per poter decidere chi votare, chiedo se siete a conoscenza del fatto che le banche creano denaro e depositi come attività principale e che, ad oggi, dai bilanci della banca, tale attività di creazione non traspare. Vi invito cortesemente a trasmettermi in risposta un esempio di scrittura contabile di prima nota (cassa) della creazione di 100.000 euro, prendendo come ipotesi un prestito da 100.000 euro effettuato dalla banca creando denaro; poi, ad indicarmi come tale somma influisce poi nella stesura del Rendiconto Finanziario, nel Conto Economico e nello Stato Patrimoniale, indicandomi le rispettive voci di riferimento. Ringrazio per la possibile collaborazione e per una risposta entro il 28 marzo prossimo.” Non ho ricevuto nessuna risposta, allora, se ci sono presenti questi candidati io vorrei chiedere se non hanno risposto perché non sapevano rispondere oppure perché è un modo, diciamo, per avallare quanto diceva l’ amministratore delegato cioè che anche loro ritengono che la creazione di denaro, ovvero di liquidità per la banca non debba essere contabilizzata, grazie”

Presidente Tesauro: “Non lo so, che facciamo (guardandosi intorno)…come? Magari ! "

Quindi, adesso non vedo altri che vogliono intervenire e quindi do inizio alla votazione...”

SNB Lost $68 Billion Of Swiss Confederation Funds: Who Won ?

SNB Spent $68 Billion On Currency Manipulation In 2016

While Donald Trump has repeatedly expressed his displeasure with China for manipulating its currency, he appears to have recently figured out that over the past 2 years Beijing has been spending hundreds of billions in dollar to strengthen, not weaken, the Yuan and to halt the ~$1 trillion in capital flight from China. But while everyone knows that the biggest currency manipulation in the world, and perhaps the Milky Way galaxy is Japan, which now owns 40% of all JGBs in its ongoing attempt to pressure the Yen lower and explains why Abe was trembling when he met with Trump, terrified the US president would tell him to stop, one place where Trump may want to look is Europe's famously "neutral" country, which however continues to be quite bellicose when it comes to currency warfare. Overnight, the SNB announced that in 2016 it spent 67.1 billion Swiss francs, or $67.6 billion, to purchase foreign currencies in an effort to weaken its currency.
The amount, published in the central bank’s annual report on Thursday, was roughly CHF20 billion lower than the 2015 total of 86.1 billion francs and a record of 188 billion spent in 2012. What is notable is that in 2015, the Swiss National Bank ended its 1.20 EURCHF peg, which ended up costing the SNB tens of billions in FX losses.

As shown in the chart below, the SNB has used interventions for the better part of a decade to keep the franc, Europe's preeminent flight to safety currency, in check and lessen the risk of deflation. After it gave up its currency cap in early 2015, the SNB has also relied on a negative deposit rate to counter appreciation pressure. It reaffirmed that two-pillar policy stance last week.



Additionally, as part of its annual report, the SNB reported that at the end of 2016, the SNB’s assets hit a record CHF 747 billion, compared to CHF 641 billion the previous year, higher than the country's total GDP. The central bank's assets consisted almost exclusively of currency reserves, that is gold and foreign currency investments. Currency reserves were up by CHF 89 billion year-on-year to CHF 692 billion, principally due to inflows from foreign currency purchases and valuation gains.

And since the SNB is the only central banks which admits it is an aggressive hedge fund, it also reports both the composition of its balance sheet and the return on assets, and in 2016 it generated a profit on currency reserves of 3.8%. Meanwhile, returns on gold and foreign exchange reserves were 11.1% and 3.3% respectively.

What is paradoxical is that despite gold generating the SNB's highest return not only in 2016 (11.1%) and over the entire 2002-2016 period, at 6.5%, the central bank has been aggressively reducing the relative size of its gold-denominated assets over the past 7 years, mostly as a result of purchases of USD-denominated stocks and bonds.

In 2016, both fixed income investments and equities contributed to the SNB's bottom line. On the other hand, the slight appreciation of the Swiss franc reduced the return.
The SNB also revealed that in 2016, the SNB held 20% of its foreign exchange reserves in the form of equity investments. Measured in Swiss francs, the average annual return on equities since their introduction in 2005 has been 2.8%; the return on bonds has averaged 0.7%.



Finally, for those confused that the SNB is so open about its purchases and holdings of mostly US stocks, this is how the central bank justifies its policy of active stock management:
The contribution of equities to preserving the value of the currency reserves and building the SNB’s equity base has thus been very substantial during this period.
We look forward to how this boilerplate language will change after the next equity market crash which will wipe out tens of billions in "value" from the SNB's balance sheet.

"Les banques drainent les fonds d'épargne et les prêtent à des emprunteurs. En jouant ce rôle d'intermédiaires, les banques créent de la monnaie. Le mécanisme peut être expliqué à l'aide d'un exemple. Supposons qu'un épargnant dépose 20 000 francs en billets sur son compte bancaire. Ce dépôt ne modifie pas la quantité de monnaie dans l'économie. Les billets ne circulent plus, mais sont dans les coffres de la banque. Le compte de l'épargnant est crédité de 20 000 francs. (Ndr: dans la banque il y a maintenat 20 000 frans en papier et 20 000 francs en argent éléctronique, la monnaie a doublé)

Laisser l'argent inactif dans des coffres ne rapporte rien à la banque. Pourquoi ne le prêterait-elle pas contre rémunération? Un entrepreneur a besoin d'argent pour acheter du matériel informatique. Des 20 000 francs versés par l'épargnant, la banque prête 16 000 francs à l'entrepreneur et porte la somme sur le compte de celui-ci. Cette opération modifie-t-elle la masse monétaire? L'épargnant a toujours 20 000 francs sur son compte. L'entrepreneur a reçu en prêt 16 000 francs. La masse monétaire a par conséquent augmenté de 
16 000 francs. 
 (NdR: Non, maintenant à la banque il y a 56 000 francs en plus qu'au debut. 36 000 francs ont été crée par la banque.) Si l'entrepreneur acquiert pour 16 000 francs de matériel informatique et que le vendeur verse le montant reçu en billets à sa banque, celle-ci peut à nouveau en prêter une partie sous forme de crédit. La masse monétaire s'accroît à nouveau. Le processus de création monétaire se poursuit."

The UK could walk away from the European Union in 2019 without paying a penny, the House of Lords has said, in a report bound to raise tensions with Brussels in the run-up to Brexit talks.

The British government would have no legal obligation to either pay a €60bn (£52bn) Brexit bill mooted by the European commission or honour payments into the EU budget promised by the former prime minister David Cameron, according to analysis by the House of Lords EU financial affairs sub-committee.
In a report published on Saturday, the committee argues that the British government would be on strong legal ground if it chose to leave the EU without paying anything, adding that Brussels would have no realistic chance of getting any money.

The peers stress, however, that if the government wants goodwill from EU countries and a deal on access to European markets, agreement on the budget will be important.

“The UK appears to have a strong legal position in respect of the EU budget post-Brexit and this provides important context to the article 50 negotiations,” said Lady Falkner of Margravine, the Liberal Democrat peer who chairs the sub-committee.
“Even though we consider that the UK will not be legally obliged to pay into the EU budget after Brexit, the issue will be a prominent factor in withdrawal negotiations. The government will have to set the financial and political costs of making such payments against potential gains from other elements of the negotiations.”
Ingeborg Grässle, a German centre-right MEP who chairs the European parliament’s budget control committee, said she was astonished at the “really disappointing” conclusions. “It is not about the money. It is about responsibilities. The question is, do you stick to your engagements?” she told the Guardian.
Grässle, who gave evidence to the Lords committee, described their conclusion as “putting the knife on the table” and said, if taken, the approach would damage Britain’s Brexit negotiations.

“Do you start with a view to let everything go straight to the wall or do you want a result?” she asked. She suggested the UK was not taking Brexit talks seriously. “The EU feels that we have to organise a real divorce and we have to sort out the money, the kids, who gets the dog and the cat … and for the British, it is as if they are leaving a golf club,” she said.


The peers’ argument will be toxic to the EU’s chief Brexit negotiator, Michel Barnier, whose staff drew up the mooted bill ranging from €55bn-€60bn (£47bn-£52bn). This covers the UK’s share of EU civil staff pensions, unpaid bills and decommissioning nuclear power plants.
Barnier is expecting the UK to pay into the EU budget in 2019 and 2020, putting the UK on the hook for payments worth £12.4bn, agreed by Cameron in 2013.
The EU’s €1tn, seven-year budget was negotiated in late 2013 by EU leaders including the British prime minister. It is due to expire at the end of 2020, although bills may be trickling in until 2023. This reflects that payments for EU-funded infrastructure projects, such as roads or airports, are not settled until two to three years after being promised.
A commission spokesperson said: “During the time of its membership, the UK has taken – and will take – financial commitments. They should be honoured in full. This will be an essential element of the negotiations on the orderly separation.”

The report is likely to cause alarm among the 2,900 British nationals who work or are retired from the EU institutions and fear their futures, including pensions, will become a political football.

Barnier is seeking to move the debate away from figures: early in the talks, he will seek to agree principles of liability with the British government, rather than presenting a bill – an approach backed by member states, who agree that the UK should pay its share.

Brussels sources acknowledge that the Brexit bill varies depending on the assumptions, with estimates ranging from €20bn to more than €70bn.
Grässle said the €60bn estimate looked reasonable when the UK’s share of EU liabilities, pensions and budget promises was taken into account.
The Brexit secretary, David Davis, has hinted that Britain may pay into the EU budget to get single market access, but large payments would be a political problem for the Conservative government. Setting out her Brexit vision last month, Theresa May said: “The days of Britain making vast contributions to the European Union every year will end.”

The need to protect whistleblowers is increasingly recognised at international, national and local level, and in many different sectors, ranging from health care, to public spending, to banking or the environment.

The European Parliament has called for EU-wide whistleblower protection on several different occasions, and the Greens/EFA group even drafted their own proposal for an EU Directive in order to push the issue forward.

Today, the European Commission has finally launched a public consultation on the issue and is conducting an impact assessment to determine whether it could, or should, propose specific legislation to protect whistleblowers.

The Greens/EFA group will prepare our own submission to the consultation based on the following key principles, which we believe should be enshrined into future whistleblower protection laws. Once our submission is ready, we will also make that public.

  1. Both public and private bodies should be obliged to protect whistleblowers: Waste, misconduct and corruption affect all sectors, and freedom of expression and freedom of information must also be protected in all sectors.

  1. Whistleblowers should be able to report on wrongdoing and reveal information that is in the public interest: Alerts should not be limited to purely illegal activities but should also cover other forms of misconduct or wrongdoing. Threats to the public interest that have occurred, are occurring, or are likely to occur should also be covered. Exclusive lists should be avoided, and instead indicative lists covering a wide range of examples should be put forward: environmental protection, health and safety, public finance, violations of human rights, corruption and fraud, discrimination, conflicts of interest, public safety, the functioning of the internal market, etc.

  1. Whistleblowers should be protected in all fields of EU competence: Sector-specific legislation should be avoided. For example, proposing legislation to only protect whistleblowers that report mis-spending of EU funds leaves out mis-spending of national funds, and all the other areas (environmental, social, health-related) as well.

  1. Whistleblowers should be free to report both internally and externally: We believe that whistleblowers should be protected no matter what their choice of reporting channel is. In the Greens/EFA Directive we proposed that it should be possible for whistleblowers to disclosure information either alternatively or cumulatively, and in various ways - internally within the workplace, externally to the competent authorities, parliamentarians and oversight agencies, trade unions and employers’ associations, and also to the public through the media or non-governmental organisations.

  1. Whistleblowers’ reports should be quickly and seriously investigated: Investigations into the issues raised by whistleblowers should be conducted independently and within the shortest time frame possible, protecting also the rights of individuals that might be implicated by a disclosure. Both the whistleblower and any person implicated by a disclosure should be able to provide additional arguments and evidence throughout the investigation, and they should be kept informed of the handling of the disclosure.

  1. Whistleblowers should not suffer as a result of their disclosures: Whistleblowers should be able to report information anonymously and to have their identity kept secret. They should be exempted from both criminal and civil proceedings related to the disclosure as well as from other disciplinary measures or other forms of reprisal (including dismissal, demotion, withholding of promotion, etc). They should have the possibility, wherever it fits with the national legal system, to file for interim or injunctive relief in order to prevent dismissal until the outcome of the whistleblowing case has been established.

  1. Whistleblowers should not bear the burden of proof: Whistleblowers who disclosure inaccurate information in honest error should still be protected, and they should not have to prove that they acted in good faith. The only thing that matters is whether the information they revealed was in the public interest or whether it revealed wrongdoing or other misconduct (in the case of a purely internal disclosure).

  1. There should be sanctions for harassing whistleblowers, or their family or colleagues: Those who harass whistleblowers, their family or their close colleagues as a result of a disclosure, should be held liable. The employer must be the one that demonstrates that any measures taken against a whistle-blower are completely unrelated to the information revealed. Action taken against colleagues or family members as a result of the protected disclosure should also be prohibited and sanctioned.

  1. Whistleblowers should be given advice as well as legal, financial and psychological support: Whistleblowers should have access to independent legal advice on their case and to an attorney, and they should be given psychological support and/or treatment if needed. Whistleblowers should also be able to claim compensation for any harassment suffered or the loss of current or future livelihood, if the damage occurred in retaliation for a protected disclosure. Whistleblowers, their family members or colleagues who are at risk should be protected by the State.

Recentemente è stato pubblicato il rapporto conclusivo del tavolo di lavoro sull'economia ticinese istituito alla fine del 2015 dal Dipartimento delle finanze e dell'economia. Il rapporto propone 37 misure per favorire lo sviluppo del Cantone. Queste proposte sono raccolte sotto il cappello di cinque grandi aree tematiche che sono il Ticino imprenditoriale, il Ticino competitivo, il Ticino digitale, il Ticino interconnesso e il Ticino sostenibile. In buona sostanza si delineano alcune traiettorie di sviluppo e si indicano i comportamenti di attori privati e pubblici indispensabili per la loro realizzazione. Ma si tratta di sogni oppure di proposte fattibili? Quale è il loro orizzonte temporale? E quale dovrebbe essere l'impegno dell'ente pubblico? Inoltre esistono oggi le condizioni favorevoli per uno sforzo congiunto di partner sociali, partiti politici e opinione pubblica? Di questo discuteranno, moderati da Alfonso Tuor, il Consigliere di Stato Christian Vitta, Direttore del Dipartimento finanze ed economia, Sergio Ermotti, CEO del gruppo UBS, Renzo Ambrosetti, già Presidente nazionale del sindacato UNIA, e Sergio Rossi, Professore ordinario di macroeconomia e di economia monetaria all'Università di Friborgo.
